Terms of Service
Standard engagement terms for software development contracts, performance advertising retainers, and technical consulting with Tuple Media.
1. Agreement to Terms
These Terms of Service govern all technical development, digital advertising management, and advisory services provided by Tuple Media. By signing an estimate, approving a Statement of Work (SOW), or commissioning work through tuplemedia.com, you confirm acceptance of these terms on behalf of your business entity.
2. Scope of Services
Tuple Media works across four specialized service lines:
Web & Application Development
Full-stack web applications, Laravel, Vue.js, React, headless APIs, and cloud database integrations.
Performance Marketing & SEO
Paid ad management on Google and Meta, conversion rate optimization, and search engine visibility.
CRM Systems & Automation
Custom pipeline automation, webhook integrations, and client portal development.
Technical Architecture Consulting
Security hardening, server deployment, load speed auditing, and enterprise system migrations.
3. Client Collaboration & Approvals
Successful engineering depends on clean two-way communication:
- Designated Lead: The client designates an authorized representative to approve milestones and sign off on staging releases.
- Review Windows: Clients agree to review completed milestones and provide actionable feedback within 5 business days.
- Prerequisite Assets: High-resolution brand assets, DNS access, and ad account permissions must be supplied promptly to adhere to agreed launch dates.
4. Intellectual Property & 100% Code Ownership
Full Transfer of Custom Deliverables: Once final milestone invoices are paid in full, all rights, copyright, and ownership of custom code, database structures, UI designs, and copywriting created specifically for your company transfer 100% to you.
Third-Party & Open Source: Open-source frameworks (Laravel, Tailwind CSS, Alpine.js) remain subject to their respective open-source licenses. Tuple Media retains general reusable developer utility snippets.
5. Invoicing, Payments & Ad Budgets
- Development Milestones: Standard contracts require a discovery deposit, an alpha/beta milestone installment, and a final deployment payment. Invoices carry standard 7-day payment terms.
- Marketing Retainers: Monthly campaign management retainers are billed in advance at the start of each service cycle.
- Direct Advertising Spend: Clients pay media spend directly to Google, Meta, or LinkedIn through their own corporate billing profiles. We never mark up ad spend.
6. Mutual Confidentiality
Both parties agree to treat all business statistics, technical blueprints, customer data, and marketing strategies as strictly confidential. Neither party will disclose proprietary materials to third parties without prior written authorization.
7. 30-Day Post-Launch Warranty
Tuple Media includes a 30-day warranty window following live deployment. If any functional defect or deviation from the approved project scope is identified during this window, our engineering team fixes it promptly at zero additional charge.
8. Limitation of Liability
To the extent permitted by law, Tuple Media's aggregate financial liability for any claim arising from an engagement shall not exceed the total fees paid by the client for the specific milestone in question. We are not liable for business interruptions caused by unexpected third-party server downtimes or platform policy changes.
